By accessing or using the Road Drafter platform ("Service"), you ("User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
These Terms constitute a legally binding agreement between you and Road Drafter, Inc. ("Company," "we," "us," or "our"), a Delaware corporation.
Road Drafter is a software-as-a-service platform that provides tools for creating, reviewing, and managing traffic control plans ("Plans") in accordance with applicable Manual on Uniform Traffic Control Devices ("MUTCD") standards and state supplements.
The Service is intended for use by:
To use the Service, you must:
(a) Be at least 18 years of age; (b) Have the legal authority to enter into these Terms on behalf of yourself or your organization; (c) Not be prohibited by applicable law from receiving the Service.
You must create an account to access the Service. You agree to:
(a) Provide accurate, current, and complete information during registration; (b) Maintain the security of your account credentials; (c) Promptly notify us of any unauthorized use of your account; (d) Accept responsibility for all activities that occur under your account.
When you register on behalf of an organization ("Agency" or "Contractor"), you represent and warrant that you have authority to bind that organization to these Terms. Your organization is responsible for all use of the Service by its members.
Certain features of the Service, including the ability to stamp and approve traffic control plans, are restricted to users who hold a valid Professional Engineer license in the applicable jurisdiction.
By using the Service to review, attest, or approve Plans, you represent and warrant that:
(a) You hold a current, valid PE license in the jurisdiction where the work is being performed; (b) You have exercised independent professional judgment in reviewing the Plan; (c) The Plan complies with applicable MUTCD standards, state supplements, and local requirements; (d) You are not relying solely on the Service's automated computations without independent verification.
The Service provides tools and computed values to assist in plan preparation, but does not replace the professional judgment required by law. You are solely responsible for ensuring that Plans comply with all applicable regulations.
The Service may flag certain calculated values as "unverified" when the underlying regulatory basis cannot be automatically confirmed. A PE must review and attest to each unverified value before a plan may be approved.
You may use the Service only for lawful purposes in connection with legitimate traffic control planning activities.
You may not:
(a) Use the Service to create Plans for work that is not authorized by law or applicable permits; (b) Submit false or misleading information in connection with any Plan; (c) Impersonate any person or entity, including falsely claiming PE licensure; (d) Interfere with or disrupt the Service or its servers; (e) Attempt to gain unauthorized access to any portion of the Service; (f) Use the Service in any manner that violates applicable law; (g) Reverse engineer, decompile, or disassemble any portion of the Service; (h) Reproduce, distribute, or create derivative works of the Service without our written consent.
The Service, including all software, algorithms, text, graphics, and other content created by us, is owned by the Company and protected by copyright, trademark, and other intellectual property laws.
You retain ownership of Plans and other content you create using the Service ("User Content"). By submitting User Content to the Service, you grant us a non-exclusive, worldwide, royalty-free license to host, store, process, and display your User Content solely to provide the Service to you.
Any feedback, suggestions, or ideas you provide regarding the Service ("Feedback") may be used by us without restriction or compensation to you.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.
Access to the Service may require payment of subscription fees as specified in the applicable order form or pricing page. All fees are non-refundable except as expressly stated herein or required by law.
We reserve the right to change our fees upon 30 days' written notice.
These Terms are effective when you first access the Service and continue until terminated.
You may terminate your account at any time by following the account closure procedures in the Service.
We may suspend or terminate your access to the Service at any time, with or without cause, upon notice to you.
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including Sections 6, 10, 11, 12, and 13.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT PLANS GENERATED USING THE SERVICE WILL COMPLY WITH ALL APPLICABLE LAWS, REGULATIONS, OR STANDARDS. THE SERVICE IS A TOOL TO ASSIST QUALIFIED PROFESSIONALS; IT DOES NOT REPLACE PROFESSIONAL ENGINEERING JUDGMENT.
MUTCD edition data and computed values provided by the Service are for informational purposes only. We make no warranty as to the accuracy, completeness, or currency of such data.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) $100.
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
(a) Your use of the Service; (b) Your User Content; (c) Your violation of these Terms; (d) Your violation of applicable law; (e) Any Plan you create, review, or approve using the Service.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
Any dispute arising out of or related to these Terms or the Service will be resolved by binding arbitration in accordance with the rules of JAMS in San Francisco, California, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorized use of intellectual property.
YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION.
These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and the Company regarding the Service.
We may modify these Terms at any time. We will provide notice of material changes by posting a notice within the Service and sending an email to your registered address at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the modified Terms constitutes acceptance.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any provision of these Terms will not constitute a waiver of our right to enforce it in the future.
You may not assign these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
